Rules and By-Laws of the Institution

1. Name of the Institution:

The name of the institution shall be “Institute of Environment, Yoga and Social Security.”

2. Membership of the Institution:

Any adult may apply for membership of the institution, provided he/she is eligible under all conditions effective at the time of application. However, the decision of the Executive Committee regarding the granting of membership shall be final. Special Note: In case membership is not granted, the Executive Committee must inform the applicant of the decision.

3. Membership Fee and Subscription:

The membership fee and subscription to be charged from members will be decided from time to time in the meetings of the Executive Committee. At present, it is as follows:
a) Membership fee – ₹100/- (payable at the time of admission).
b) Monthly subscription – ₹25/- (to be paid regularly).

4. Types of Membership:

Currently, all members of the institution shall be called Ordinary Members. From time to time, the institution may invite applications for other types of membership. The eligibility, membership fee, and subscription for such categories shall be determined by the Executive Committee.

5. Founder Members of the Institution:

The office-bearers and Executive Committee members of the institution’s first Executive Committee shall jointly be considered as the Founder Members of the institution.

6. Patron Members of the Institution:

From time to time, the Executive Committee may appoint distinguished persons of society as Patron Members of the institution. Such appointments must be unanimously approved in the Executive Committee meeting.

7. Expulsion / Suspension from Membership:

The Executive Committee has full authority to terminate the membership of any member on the following grounds:
a) On the death of the member.
b) On voluntary resignation in writing.
c) On being found involved in antisocial activities.
d) On being guilty of propagating against the objectives of the institution.
e) On failure to pay the subscription within three months of the due date.
f) On remaining absent from three consecutive meetings of the institution without providing a valid
reason.
g) On violating, disregarding, or disrespecting the rules, by-laws, or decisions of the Executive Committee.
Special Note: The concerned member shall be informed in case of suspension or termination.

8. General Body (Definition):

All members of the institution collectively shall constitute the General Body (or Annual General Meeting)

General Body Meetings:

a) Notice: Members shall be informed of the date, time, venue, and agenda of the meeting at least 15 days in advance.
b) Quorum: The General Body meeting shall be convened at least once a year. The quorum shall be one-third (1/3) of the total membership.

9. Rights of Members:

a) All members shall have the right to participate in all cultural, educational, and other legitimate programs and meetings organized by the institution.
b) Members shall be entitled to receive an identity card on payment of the prescribed fee.

10. Duties of Members:

Members shall have the following duties:
a) To elect the Executive Committee.
b) To attend General Body meetings regularly.
c) To provide necessary information to the institution as required.
d) Not to participate in any program or activity against the objectives and rules of the institution.

11. Executive Committee:

a) Composition: The Executive Committee shall consist of not less than 7 and not more than 21 members (including office-bearers).
b) Tenure: The term of the Executive Committee shall be five years.
c) Notice of Meeting: Members shall be given at least 7 days’ notice of the Executive Committee meetings, with details of date, time, venue, and agenda.
d) Quorum: One-third (1/3) of the total members shall constitute a quorum.
e) Meetings: The Executive Committee shall meet every three months or whenever required.
f) Emergency Meetings: Emergency Executive Committee meetings may be called with 24 hours’ notice. The quorum for such meetings shall be one-third (1/3).

12. Functions and Powers of the Executive Committee:

The Executive Committee shall have the following functions and powers:

1.To implement all objectives stated in the Memorandum of Association and to carry out resolutions passed by the Committee.
2.To consider applications for membership.
3.To form an Advisory Committee to resolve disputes; the Advisory Committee will only provide
suggestions, but the final decision rests with the Executive Committee.
4.To make decisions on majority vote.
5.To supervise all activities of the institution and delegate responsibilities to office-bearers or members as required.
6.To exercise all powers mentioned in the Rules and By-Laws.
7.To prepare plans and future programs.
8.To prepare projects and submit applications to relevant offices.
9.To appoint an Election Officer and define his powers.
10.To apply for loans from banks and prepare expenditure plans.
11.To invest surplus funds of the institution in nationalized banks or government savings schemes for growth.
12.To appoint patrons.
13.To nominate representatives or trainers for seminars, exhibitions, or training programs, and arrange necessary funds for expenses.
14.To accept donations, grants, and contributions.
15.To pass resolutions or decisions necessary for the smooth functioning of the institution.

13. Appeals:

All appeals related to the institution shall be made to the General Body.

14. Filling Vacancies:

Vacancies among office-bearers or members of the Executive Committee shall be filled by majority vote in the Committee meeting, and the matter shall be placed before the next General Body meeting for consideration.

15. Structure of the Executive Committee:

President – 1
Vice-President – 1
General Secretary – 1
Secretary – 1
Treasurer – 1
Executive Members – Minimum 10 to Maximum 16

16. Functions and Powers of Office-Bearers:

1) President: The President shall supervise the Executive Committee and have the authority to manage institutional work and issue general instructions.
Powers:
a) To preside over meetings.
b) To cast a deciding vote in case of a tie.
c) To allow discussions on new proposals in meetings.
d) To sign all official correspondence and documents of the institution.

2) Vice-President:
The Vice-President shall assist the President in carrying out his duties.

3) General Secretary:
a) To issue notices for Executive Committee and General Body meetings.
b) To prepare and maintain registers and other documents related to proceedings.

4) Secretary: The Secretary shall perform all duties and exercise powers of the General Secretary in his absence.

5) Treasurer:
a) To manage all income of the institution.
b) To disburse funds as per Executive Committee’s orders.
c) To keep with him up to ₹1,000 (or such amount as decided by the Committee) for petty expenses.

6) Executive Members:
a) To attend all Executive and General Body meetings.
b) To safeguard the interests of the institution and contribute towards achieving its objectives.

17. Elections:

Every five years, the election of office-bearers and members of the Executive Committee shall be conducted in the Annual General Body meeting by show of hands or secret ballot. An Election Officer shall be appointed in a specially convened meeting for this purpose, and his powers shall be defined by the Executive Committee.

18. Financial Year:

The financial year of the institution shall begin on April 1 and end on March 31.

19. Sources of Income:

All income of the institution shall be utilized only for achieving its objectives. Sources of income shall include:
a) Membership fees.
b) Members’ subscription.
c) Government or non-government donations and special grants.
d) Income from seminars, camps, or other activities.

20. Management of Funds and Bank Accounts:

All income of the institution shall be deposited in any nationalized bank as decided by the Executive Committee. The account(s) shall be operated jointly by the Treasurer and either the President or the General Secretary.

21. Annual List of the Executive Committee:

As required under Section 4 of the Societies Registration Act, 1860, applicable in the National Capital Territory of Delhi, the annual list of Executive Committee members shall be filed with the Registrar of Societies.

22. Audit:

The accounts of the institution shall be audited annually by a qualified Chartered Accountant.

23. Legal Proceedings:

As per Section 6 of the Societies Registration Act, 1860, applicable in Delhi, the institution may sue or be sued in the name of the society.

24. Amendments:

Any amendments to the Memorandum of Association or the Rules and By-Laws shall be made in accordance with Sections 12 and 12-A of the Societies Registration Act, 1860.

25. Dissolution:

If it becomes necessary to dissolve the institution, the same shall be done as per Sections 13 and 14 of the Societies Registration Act, 1860.

26. Enforcement of the Act:

All provisions of the Societies Registration Act, 1860, applicable in Delhi, shall be binding on this institution.

27. Mandatory Certificate:

“It is hereby certified that this is the true copy of the Rules and By-Laws of the Institution.”
